Terms & Conditions

Sorrell Associates, LLC & NewsletterVille.com

I. Statement of Work –

Sorrell Associates, hereto also referred to as SA, agrees to set-up and format a customized newsletter for our newsletter clients. The newsletter will be provided in PDF, MSWord, or HTML Format.

Newsletters will be created and designed with a combination of content including articles provided by Sorrell Associates and newsletter client.

SA will compliment articles with applicable artwork and/or include similar business-related information. The newsletter client agrees to authorize SA to utilize any articles, and related information, provided copyright restrictions and author credits are properly documented and adhered to that is provided by the newsletter client.

Newsletter articles will be emailed to ESORRELL1@COX.NET and/or Gary@NewsletterVille.com.
SA will provide the newsletter to newsletter client on the fifth day of each month and the newsletter client will have a review period of 5 workdays to identify any desired changes. Newsletter client may communicate any changes and/or corrections via email, telephone, or fax.

After approval of client newsletter we will consider work complete on that issue.

PDF & MSWord Newsletters will be provided as an email attachment for further distribution.

HTML Newsletters will be provided as an e-mail.

Completed client newsletters will be kept on file for a period of 30 days after completion.

Additional changes on completed newsletters after 30 days will require us to re-create the client newsletter and the client will incur a standard recreation or changes fee of $95 per hour.

Any unexpected problems or deviations will be immediately communicated by contacting either Gary Sorrell, 740.824.4842, or Gene Sorrell, 405.799.5807. Reciprocally, SA will contact our newsletter client regarding the same.

(1) PDF format utilizes Adobe Acrobat Reader to access the files. Software is free and available for immediate download at website: www.adobe.com.

(1) HTML format utilizes an CRM program like Constant Contact. You will need an account that we can access or we can create your html newsletter and send it to you.

To assist SA in completing the newsletter design templates, our newsletter clients must identify some or all of the following information to be included in each newsletter:

II. Period of Performance -

Standard newsletter contract is established for a one year period with an option to extend the contract, at the current charge, an additional twelve (12) months at any time before the end of the 12-month period. The newsletter contract begins following authorization and signature.

* Intent to exercise the contract option for an additional 12 months must be communicated before the end of this agreement.

III. Terms and conditions

Financial calculations are based upon a 1 year contract. Any deviations to this standard time frame will require re-calculation and could incur additional costs. The standard contract time frame provides the best value.

Newsletter cancellations before contract completion must be indicated in writing at least 30-days in advance.

Cancellations before the standard 12 month period may forfeit the one (1) issue and/or deposit.

Any pre-pay option cancellations before the designated time frame will forfeit 1 issue cost to cover the initial set up.

Any disputed payments may incur the additional design, set up, layout, and graphics charge of $750.

HTML, 2 or 4 page customized newsletters include content, graphics, formatting, and contact information in each issue.

Any un-resolvable disputed claims will be handled at the Coshocton County Municipal Court. Coshocton, OH.

IV. Sign Up Form Signature of Agreement

Signatures constitutes a mutual agreement between Sorrell Associates and newsletter client (obligating authority for contractual agreements) with the statement of work and terms and conditions. Your signature also constitutes that you have read and agree to our terms and conditions. Any changes to the agreement by newsletter client will require prior approval of Sorrell Associates before constituting a mutually agreeable and contractually binding document. The signature also approves Sorrell Associates to charge credit card and/or invoice for newsletter service.
